NGOs in India are usually based on the activity the group, individual or institution wishes to engage in, and there are three legal ways through which an NGO can get registered, viz, Society, Trust or Section 8 companies.

    Documents Required for NGO Registration

    Trust Registration

    • Objectives of the Trust Deed.
    • Particulars of the Trustee and settlor, i.e., Self-attested copy of Identity and Address Proof along with the information related to occupation.
    • Trust Deed on Proper Stamp Value.
    • Passport Photographs of Trustee and settlor.
    • PAN Card of Trustee and settlor.
    • Documentation for the Trust Registered Address, if the registered office is on a rented property (NOC from the Landlord is mandatory)

    Society Registration

    • Name of the society
    • Address proof of the working space, i.e., the office
    • Identity proof of all the nine members, i.e., Copy of:
      • Aadhar card
      • Passport
      • Voters ID
      • Driving license
    • Two certified copies of the By-laws of the society and the Memorandum of Association (MoA).

    Section 8 Company

    • Certified Copy of Identity Proof and Address Proof of all the Directors (PAN Card mandatory).
    • DIR-2, i.e., Consent of the directors with Identity and Address proof
    • Utility bill such as mobile or telephone bill/ gas or electricity bill scanned copy. Not older than two months, preferably the latest one
    • The latest No-objection certificate scanned copy from the property owner if the registered office is on leased or rented property.
    • Scanned copy (Not older than two months, preferably the latest one) (used for Address Proof of the registered office):
      • Latest bank statement
      • mobile or telephone bill
      • gas or electricity bill
    • Affidavit concerning the deposits.
    • INC-14 -Declaration by the Professionals
    • INC-15-Declaration by the Promoters.
    • Approximated Annual Income
    • Particulars of the promoters and the Board Members of the proposed company.

    Note: The INC-14 and INC-15 shall be on the stamp paper, duly notarized

    Benefits of NGO Registration

    Exemption

    One can avail of several tax benefits if the company is registered as an NGO under the Companies Act, 2013. As NGOs are exempt from various taxes, this helps the company save money, and the saved money can be used to aid more beneficial projects.

    Minimum Share Capital not required.

    Another advantage of getting the NGO registered is that there is no requirement to have minimum share capital in order to function independently. NGOs can start their operations with the charity made to it through various means; thereby, there is no need of having a higher share capital.

    Perpetual Succession

    Perpetual Succession implies that the NGO has an indefinite lifespan and will continue to exist even after the death or leaving of the trustee or founder of the NGO. The NGO will cease to exist only through the formal order by the Court of India to wound up the operations.
